Terms of delivery and contract terms

1. General terms
VPD.fi is a marketplace of VPD Finland Oy (Business ID: 2015063-9). These contract terms are applied in commercial relations between VPD Finland Oy and its customers. The contract terms of the service providers whose services and products are traded by VPD Finland Oy shall also apply. VPD Finland Oy has the right to change these contract terms without advance notice. Orders are subject to the contract terms as they are at the moment the order is submitted. These terms are available on VPD Finland Oy’s website.

VPD.fi shall not be responsible for any damages that result from a force majeure. A force majeure is any unforeseeable fact or change in circumstances that is beyond VPD Finland Oy’s influence.

2. The customer and data protection
VPD.fi welcomes all private and corporate customers. Relevant Finnish and EU legislation regarding business-to-consumer trade, marketing and advertising shall be applied to commercial relations. Sales agreements between corporate customers and VPD Finland Oy shall primarily be governed by these contract terms and, where they are not, by the Finnish Sale of Goods Act.

When making an order, the customer is under obligation to provide their full official contact information, including at least, in case of a consumer customer, their name, address and telephone number, and possibly their e-mail address. Information required from a corporate customer includes at least the name of a contact person, the telephone number and e-mail address of said contact person, the customer’s business ID, postal address, telephone number or numbers and, where necessary, their billing address.

Customers’ information is stored in VPD Finland Oy’s filing system and is used to maintain customer relationships. Additionally, VPD Finland has the right to process and disclose information in the system for the purposes of reasonable use (such as direct marketing) in accordance with relevant legislation. By placing an order, the customer acknowledges that they are subscribing to VPD Finland Oy’s newsletter. The customer may remove themselves from the mailing list via the cancellation link in the newsletter or by contacting our customer services.

VPD Finland Oy’s GDPR-compliant privacy statement can be found at the web address VPD.fi. The customer may forbid the use and processing of their information for marketing purposes and request to check any stored information regarding themselves by contacting VPD Finland Oy’s customer services.

After making a purchase, the customer will be sent a product review invitation, provided the order includes the customer’s e-mail address. Responding to the product review invitation is voluntary. The invitation only includes products that the customer has purchased. The customer’s contact information will not be publicly disclosed in connection with the review. VPD Finland Oy uses the information gathered in the review process to develop the customer experience, their product range and their services.

The VPD.fi website uses cookies to improve the site’s user-friendliness. The purpose of cookies on the VPD.fi website is to ease, improve and speed up the customer experience. Cookies can also be used to provide the customer with better offers and more personalised product recommendations. Cookies are small text files that the VPD.fi network server stores on the user’s device. Some elements on the VPD.fi website may require the user to accept cookies in order to function. The user’s web browser is likely to accept cookies by default, but the user may also choose to prevent the use of cookies in the browser’s settings or by deleting cookies in the browser after using the service. Additional browser-specific user instructions can be found in the documentation provided by the browser manufacturer.

3. List of prices
Prices include VAT but do not include delivery costs unless stated otherwise. If the list of prices includes clearly evident pricing errors, products will not be sold at a clearly lower price if the customer can be presumed to have understood the presence of the error.

Prices are always checked when products are being prepared for despatch. If the price of a product has fallen, the price of the open order will be adjusted accordingly. However, if the price of a product has increased before despatch, the product will be delivered at the price given when the order was placed.

Delivery time estimates are made based on the information provided by importers and manufacturers. VPD Finland Oy and its suppliers are not responsible for delays caused by external unforeseeable circumstances beyond their control.

VPD Finland Oy reserves the right to limit the sale of products in exceptionally large quantities. VPD Finland Oy does not sell products for the purposes of resale.

The age ratings of products are observed as required by the law. By ordering a game with an age rating of 18 (not for persons less than 18 years of age), you verify that you are 18 years of age or older. Providing false personal data is against the law.

4. Delivery
VPD.fi offers a comprehensive selection of delivery options. Additional information on delivery methods and services included in deliveries can be found on our website. The shopping basket on VPD.fi automatically accounts for delivery offers that may apply to your order. The individual products included in an order may be delivered in more than one despatch.

We attempt to handle ready orders within 24 hours of receipt on weekdays if the product’s date of publication does not limit the time and date of despatch. An order is considered ready when all the products included in it are available in our warehouse and reserved for the order in question and the payment method has been approved.

VPD Finland Oy is not obligated to reserve other products included in an order for the customer when one of the products is unavailable or its delivery is delayed for reasons that are beyond VPD Finland Oy’s influence. The customer may choose to have the delayed product delivered at a later date or to cancel the order. The customer will be charged for the cost of delivering the delayed item separately according to the current list of prices. Products included in the order will be reserved for a maximum of 7 days, after which the order will be cancelled unless the customer has agreed to have the delayed product delivered at a later date in accordance with VPD Finland Oy’s terms.

We reserve the right to charge customers EUR 15 for deliveries that were not picked up by the customer at the post office or Matkahuolto.

5. Payments
Current information on payment methods can be found on the VPD.fi website. Placing an order does not require the customer to register (i.e. create a customer account).

Corporate customers may apply to be registered as a billing customer through our business-to-business sales. You can get additional information by e-mailing vpd@vpd.fi or calling us by telephone.

VPD Lasku and VPD Tili are payment methods offered by Avarda Oy. Klarna Lasku and Erämaksu are payment methods offered by Klarna AB. More information about credit and the creditor are specified in the shopping cart in accordance with the law.

Paytrail Plc (business ID: 2122839-7) also acts as a payment gateway and payment service provider in collaboration with Finnish banks and credit institutions. Paytrail Oyj (Plc) will be displayed as the payment recipient in bank statements and credit card bills and will forward the payment to the merchant. Paytrail Plc is an authorised payment institution. 6. Returns
VPD.fi offers its customers the right to return new and unopened products within 14 days. Products can be returned either through the free customer returns service offered by Posti or directly to the shop. VPD.fi is responsible for return costs when returns have been made via Posti’s customer returns service in accordance with VPD.fi’s instructions. Before returning a product, you must always contact our customer services via e-mail or telephone.
The customer is responsible for any impairment in the value of the product resulting from use. The returned product must be as new so that it may be sold as a new product.

Returned products must be packaged with due care.

Please carefully retain all documents relating to the customer return until you have received confirmation of the product’s receipt from VPD Finland Oy.

The limitations of the customer’s right of return are set according to the terms of chapter 6, section 16 of the Finnish Consumer Protection Act. Videogames, films, computer programs and other sealed products cannot be returned once the product packaging has been opened. Hygiene and intimate products cannot be returned after the product packaging has been opened, as they cannot then be sold due to their nature. Hygiene and intimate products include epilators, electric razors, hair trimmers, nose and ear hair trimmers, hair styling appliances, hair clippers, electric tooth brushes and other oral hygiene appliances, clinical thermometers, blood pressure meters, blood glucose meters, breathalysers, in-ear headphones, hands-free devices, nappies and similar childcare products.

Service products and digital content cannot be returned under the Consumer Protection Act if the services have been provided in full or the delivery of digital content electronically has been started and notification has been given in advance that the right of return does not apply.

7. Warranty, support and liability for defects
The warranty is determined according to the warranty clauses set by the manufacturer. You are responsible for familiarising yourself with the warranty clauses delivered with the product before taking the product into use. The warranty clauses can be found in the user instructions, a separate warranty form or at a web address provided by the manufacturer. The warranty typically only covers manufacturing defects and material defects in the product. The warranty period is specified in the product specifications.

Repairs under warranty are always performed in accordance with the warranty clauses of the manufacturer or importer. We recommend you contact the manufacturer or their servicing company directly, as this speeds up repairs and is beneficial to you. You can always choose to deliver the product to VPD Finland Oy’s shop.

Repair times are estimated at 10–30 weekdays. Some products sold by VPD Finland Oy need to be delivered abroad for repairs because the manufacturer does not have an approved service provider in Finland.

The customer is liable to compensate for the cost of unwarranted returns for repair if the product has been returned clearly without defect. VPD Finland Oy is not responsible for damages caused by the customer’s actions. The costs recovered from customers for unwarranted returns for repair include any expenses incurred by the servicing company and expenses incurred by VPD Finland Oy.

Our service team retains products for three (3) months after the customer has been notified of the completion of repairs/work. After this period, any products in our possession will be recycled. (Act on a trader’s right to sell unclaimed items)

Responsibility for digital documents is always determined according to liability for risk. VPD Finland Oy is not responsible for information and software stored on digital media while the customer has liability for risk. It is the customer’s responsibility to maintain backups. Backups must always be made before any servicing process. Recovery of files from a defective or damaged device is an additional service that is subject to a charge.

VPD Finland Oy has liability for defects when the product’s warranty has expired or no warranty has been given. For further information, please contact vpd@vpd.fi by email.

VPD Finland Oy will provide additional instructions on recycling when necessary. The price of recycling is included in the price of the product.

8. Complaints
The customer is obliged to provide a certificate of purchase, receipt or other proof of the place and date of purchase when returning a product or making a complaint pertaining to a defect. VPD Finland Oy reserves the right to recover the cost of finding a receipt from the customer.

Only complaints made in writing are processed. Written, free-form complaints can be sent via e-mail to vpd@vpd.fi. Customer feedback can be left on the website.

Our staff dealing with complaints work directly under the executive team. When necessary, staff can consult with senior management on the handling of complaints. Sales staff do not process complaints.

Dispute resolution and place of jurisdiction: Consumer customers have the right to take disputes resulting from this contract before the Consumer Disputes Board (www.kuluttajariita.fi/en). Before bringing the matter before the Consumer Disputes Board, the consumer shall be in contact with Consumer Advisory Services (www.kkv.fi/en/consumer-advice). Additionally, the consumer may use the European Commission’s Online Dispute Resolution platform (http://ec.europa.eu/odr). The customer may bring an action regarding a dispute resulting from the debt relationship established in the contract against VPD Finland Oy in either the local court of VPD Finland Oy’s registered office or in the local court of the customer’s place of residence. If the customer does not have a place of residence in Finland, disputes are handled in the local court of VPD Finland Oy’s registered office.

The cost of counsel is not compensated because Consumer Advisory Services and the Consumer Disputes Board offer free counsel in resolving disputes.

9. Additional terms for corporate customers
VPD Finland Oy is not responsible for any direct or indirect loss, damage or loss of income caused by a product and/or service. VPD Finland Oy’s liability for damages shall always be limited to the contents of these contract terms. Liability for defects in a product is limited to the refund of any purchase price less the benefit derived from the product.

The warranty period for a device purchased for business use is determined by the manufacturer’s warranty clauses, and VPD Finland Oy shall have no further responsibility after the end of the warranty period. Physical dismantling of the product for the purposes of modification shall terminate the warranty and the seller’s responsibility unless the manufacturer has declared otherwise.

VPD Finland Oy reserves the right to direct all customers to the manufacturer and the approved service providers thereof. VPD Finland Oy’s customer services can be contacted for additional information on servicing.

Any data and software stored on digital media is the responsibility of the end user. The customer is responsible for maintaining backups. Recovery of files after a device has been damaged is an additional service that is subject to a charge.

Our service team retains products for three (3) months after the customer has been notified of the completion of repairs/work. After this period, any products in our possession will be recycled.

VPD Finland Oy shall not be obliged to fulfil the terms of the contract if it encounters a force majeure that it cannot overcome by reasonable measures. VPD Finland shall not be liable to compensate any damage or expenses incurred by the customer due to a force majeure and shall be entitled to annul the contract.

By placing an order and/or request for quotation, the customer indisputably accepts VPD Finland Oy’s contract terms. Any sales contract terms used by the customer will not be followed if they contradict the contract terms of VPD Finland Oy.
